By registering for, accessing, or using Vauxmart, you acknowledge that you have carefully read, fully understood, and agreed to comply with these Terms. These Terms and Conditions are meticulously crafted to ensure a safe, efficient, and enjoyable marketplace experience for all users involved. If you do not consent to these conditions, we kindly urge you to discontinue your use of the Platform immediately to avoid any potential conflicts.
1. Definitions
- “Vauxmart,” “We,” “Us,” “Our” – This refers to the Vauxmart platform and encompasses its operators, employees, and all affiliated entities committed to maintaining a robust marketplace.
- “User,” “You,” “Your” – Any individual or organization that accesses or utilizes the Platform, encompassing both buyers and sellers.
- “Buyer” – A user actively engaging in purchasing goods or services from sellers listed on the Platform.
- “Seller,” “Vendor”, “Trader”, ”Artisan”, – A user who has successfully registered to list, market, and sell products or services through the Vauxmart platform, characterized as an independent business entity.
- “Products” – This term encompasses any tangible goods, digital content (including software and virtual products), or services available for purchase as advertised by sellers on the Platform.
- “Transaction” – A successfully completed purchase agreement between a buyer and a seller, facilitated through the Vauxmart Platform.
2. Role of Vauxmart
As a dedicated marketplace facilitator, Vauxmart provides an innovative virtual environment that enables effective interaction between sellers and buyers. It is essential to understand that while we offer the Platform for conducting transactions, we do not own, control, or assume any liability for the products listed by the sellers. Sellers operate as independent businesses, and they are solely responsible for their product listings, ensuring compliance with all applicable laws and fulfilling orders in a timely and professional manner. In circumstances where Vauxmart sells or ships products directly under the “Vauxmart Retail” designation, we will acknowledge our limited role as a direct seller for those specific transactions.
3. Eligibility
Participation in the Vauxmart Platform requires that users be at least 18 years of age (or reach the legal age in their jurisdiction). Sellers must possess the requisite legal authority to conduct business and ensure compliance with all local tax, trade regulations, and consumer protection laws. We reserve the right to temporarily suspend or permanently terminate accounts that provide false, misleading, or inaccurate information at any stage of the registration or usage process.
4. User Accounts
All users are required to create an account to engage in buying or selling on Vauxmart. You are solely responsible for safeguarding your login credentials, and you bear full responsibility for all activities conducted under your account. Sellers are required to furnish accurate business details that include verified payment information and banking accounts to facilitate seamless payouts.
5. Buyer Terms
As a valued buyer, you agree to:
- Diligently review product descriptions, seller ratings, and customer feedback prior to making any purchase decisions.
- Pay the total order amount, inclusive of any applicable taxes, shipping fees, or additional charges that may apply.
- Provide precise and complete delivery information to ensure timely receipt of your order. You must acknowledge that products available on the Platform are provided by independent sellers.
Therefore, any product-related issues, including defects or dissatisfaction, must first be addressed directly with the seller in question before seeking further assistance.
6. Seller Terms
As an engaged seller, you agree to:
- Accurately represent your products by providing comprehensive and truthful descriptions, including correct pricing, current stock availability, and any pertinent specifications.
- Ensure that all products listed are authentic, compliant with relevant laws, and meet all necessary safety and quality standards expected by consumers.
- Manage all aspects of shipping, delivery, and returns in accordance with applicable laws and in a manner that respects consumer rights.
- Remit all applicable commission, service fees, and transaction costs to Vauxmart as detailed in the Seller Agreement.
- Refrain from listing or selling prohibited items, including but not limited to counterfeit goods, illegal substances, hazardous materials, or any property that is stolen or otherwise unlawfully obtained.
Vauxmart reserves the right to suspend or permanently revoke the access of any sellers who violate these terms, ensuring a secure environment for all users.
7. Orders and Payments
Orders placed through the Vauxmart platform become legally binding once they are confirmed by the system. Payments for these orders are processed through our secure payment partners to guarantee the safety and confidentiality of your financial information. Sellers receive their payouts after successful delivery of the products, following the deduction of any applicable commissions or fees. In cases of disputed or potentially fraudulent transactions, Vauxmart may elect to hold funds temporarily until a thorough resolution has been reached.
8. Shipping and Delivery
Buyers have the responsibility of choosing and paying for their preferred method of delivery from the options available in their region on the Vauxmart platform. Sellers are accountable for transferring their products to the selected delivery agent or company when contacted. The delivery agent or company shall use every legal and appropriate means possible to promptly deliver the order to the buyer within the timelines stated in their listings, and in good condition. The risk of loss or damage to the product is transferred to the buyer once the order has been delivered successfully. It is imperative for buyers to double-check that their delivery details are accurate, as any failed deliveries resulting from incorrect information will be the buyer’s responsibility. While Vauxmart may offer logistics support in select cases, the ultimate accountability for fulfilment remains with the delivery agent or company.
9. Returns, Refunds, and Dispute
Every seller is required to adhere strictly to the Vauxmart Return and Refund Policy return and refund policy in strict compliance with consumer protection laws. Buyers have the option to initiate returns or refunds through our Platform’s dedicated dispute resolution system. If issues cannot be resolved effectively through direct communication, Vauxmart may step in to mediate; however, we do not guarantee specific outcomes. 10. Fees and Commissions
Sellers agree to pay Vauxmart any applicable service fees, listing fees, and transaction commissions as specified in the Seller Agreement. These fees will be automatically deducted from the seller’s payouts to streamline the transaction process. Additionally, Vauxmart reserves the right to revise its fee structure periodically, with advanced notification provided to sellers.
11. Prohibited Activities
Users are strictly prohibited from engaging in the following activities:
- Selling illegal, counterfeit, restricted, or prohibited items on the Platform.
- Participating in any form of fraudulent transactions or manipulating the payment systems.
- Posting misleading content, fake reviews, or unsolicited commercial communications (spam).
- Interfering with the operation, security, or overall user experience of the Platform.
12. Intellectual Properties
ll content associated with Vauxmart—including but not limited to logos, software, branding elements, and website design—is owned solely by us. Sellers retain ownership of their product listings but hereby grant Vauxmart a non-exclusive license to display, promote, and distribute their product content on the Platform. Users are expressly prohibited from infringing upon any third-party intellectual property rights.
13. Data Privacy
Vauxmart is fully committed to maintaining the privacy of our users and will collect and process personal data in accordance with our Privacy Policy. By utilizing the Platform, you consent to the collection, usage, and potential sharing of your information with payment processors, logistics partners, and regulatory authorities as deemed necessary for operational purposes.
14. Limitation of Liability
Vauxmart disclaims any liability related to product quality, safety, or lawful compliance of items purchased through the Platform. Any grievances or concerns regarding products must be directly addressed to the respective sellers. Our liability is limited to the maximum extent permitted by applicable laws and regulations.
15. Indemnification
Users agree to indemnify, defend, and hold harmless Vauxmart, along with its affiliates, directors, officers, employees, and agents, from and against any claims, losses, liabilities, damages, costs, or expenses, including reasonable attorney’s fees, that arise from:
- A breach of these Terms by the user.
- Any transactions conducted through the Platform, including but not limited to those involving the sale of goods or services.
- Violations of applicable local, state, national, or international laws, or infringements upon the rights of third parties, including but not limited to intellectual property rights.
This indemnification obligation will survive the termination of the user’s account or these Terms.
16. Termination and Suspension
Vauxmart reserves the right to suspend or terminate any user accounts in the event of violations of these Terms, instances of fraud, abuse, or any behavior deemed harmful to the operation of the Platform or its community. Users will remain liable for fulfilling any outstanding orders even after their accounts have been suspended or terminated. Additionally, users may choose to close their accounts at any time; however, closure is subject to the completion and settlement of any pending transactions, ensuring that all obligations are met before account termination.
17. Modifications
We reserve the right to update or modify these Terms at any time to reflect changes in our practices or for other operational, legal, or regulatory reasons. Any updates will be posted prominently on the Platform to ensure that users are aware of the changes. Continued use of the Platform following the posting of any modifications constitutes acceptance of the revised Terms. Users are encouraged to review the Terms periodically for any updates.
18. Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of Nigeria, without regard to its conflict of law principles. In the event of any disputes arising out of or relating to these Terms or the use of the Platform, parties will first attempt to resolve the dispute through informal negotiation or mediation. If the dispute remains unresolved after a reasonable period, it will be submitted to binding arbitration in accordance with the rules of the Arbitration and Mediation Act 2023. Alternatively, disputes may also be brought before the competent courts of Jurisdiction, and users consent to the exclusive jurisdiction of such courts.
19. Severability
If any provision of these Terms is determined to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such determination shall not affect the validity of the remaining provisions of these Terms, which will remain in full force and effect. The parties agree that any invalid provision will be deemed modified to the extent necessary to make it valid and enforceable, while still reflecting the original intent of the parties as closely as possible.
