Sellers Agreement

Purpose

This Seller Agreement (“Agreement”) is made between Vauxmart (“We”, “Us”, “Our”) and the individual or business entity registering as a seller on the Vauxmart Platform (“Seller”, “Trader”, “You”, “Your”). By registering as a seller on our platform, you agree to adhere to this Agreement as well as the Vauxmart Terms and Conditions and Privacy Policy, both of which govern your use of the Vauxmart services.


  1. Eligibility

To qualify as a seller on the Vauxmart Platform, you must be a legally registered entity or an individual with the capacity to engage in commercial transactions under applicable laws. It is imperative that you provide accurate and truthful information regarding your business, including but not limited to business registration details, tax identification numbers, and bank account information. Additionally, you must supply valid contact information. Vauxmart reserves the right to verify your identity and business credentials before granting you the necessary seller privileges.


2. Role of Vauxmart


Vauxmart operates as an online marketplace that facilitates interactions between sellers and buyers. Our role is to provide a platform where sellers can list and sell their products. It is important to note that Vauxmart is neither the owner nor the manufacturer of the third-party products listed by you, except for products explicitly sold under the “Vauxmart Retail” category. As a seller, you operate as an independent business entity and bear sole responsibility for the accuracy of your listings, adherence to applicable laws, and fulfillment obligations related to your sales.


3. Product Listings


You commit to providing accurate, comprehensive, and truthful product descriptions, pricing, and availability status. Your product listings should feature high-quality images that do not infringe upon any third-party intellectual property rights. It is essential that you only list products you are lawfully authorized to sell. Prohibited items include but are not limited to:

  • Counterfeit goods, pirated products, or replicas.
  • Illegal, hazardous, or stolen goods.
  • Adult content, firearms, narcotics, or other products restricted by law.

Vauxmart retains the right to review, modify, or remove any listings at its discretion to ensure compliance with these policies and to maintain the marketplace’s integrity.


4. Pricing and Payments


As a seller, you have the liberty to set your own product prices, provided they align with fair market practices. You can utilize the Vauxmart Price Analytics feature within the app to inform your pricing strategy. All prices listed must encompass all applicable taxes, duties, and charges. Payments from buyers will be processed through Vauxmart’s secure payment systems.

Regarding payouts to sellers:

  • Payments will be disbursed through your pre-selected payment methods.
  • Payout amounts will be net of Vauxmart’s commissions, fees, and any applicable withholding taxes.
  • Disbursements may be held in an escrow payment system, which will withhold payment until confirmed successful delivery of the product.

Vauxmart reserves the right to withhold or delay payouts pending investigations into disputes, allegations of fraud, or any policy violations.


5. Fees and Commissions


Vauxmart charges sellers a commission based on each sale made through the platform. Additionally, we may impose listing fees, subscription fees, advertising fees, or service charges as outlined in the Seller Fee Schedule. Please note that commission rates and fees may vary across different product categories. Vauxmart retains the authority to revise these fees with prior notice to sellers.


6. Order Fulfillment and Shipping


As a seller, you are solely responsible for the efficient processing of orders, which includes timely packaging and shipping of products. It is imperative that you meet the delivery timelines advertised in your listings. The risk of loss or damage to the product remains your responsibility until it is successfully delivered to the buyer. Should Vauxmart offer logistics services, you may opt to utilize them; however, the ultimate responsibility for order fulfillment lies with you.


7. Returns, Refunds, and Cancellations


You must adhere to Vauxmart’s Return and Refund Policy, which is designed to align with consumer protection laws and our Buyer Protection Policy. As a seller, you bear the responsibility for accepting returns, issuing refunds, or providing replacements when necessary. In instances of disputes, Vauxmart reserves the right to intervene and issue refunds directly to buyers while deducting the refunded amount from your pending payouts.


8. Seller Obligations

You agree to:

  • Comply with all relevant laws and regulations, including consumer protection, tax obligations, import/export regulations, and product safety standards.
  • Provide invoices or receipts when legally required.
  • Maintain sufficient stock levels to fulfill orders promptly.
  • Refrain from engaging in fraudulent, misleading, or abusive practices.
  • Uphold a minimum standard of customer service, ensuring timely responses to questions and concerns from buyers.

9. Intellectual Property


While you retain rights to your product content, you grant Vauxmart a royalty-free, worldwide license to use, display, and market your listings on our platform and various digital channels. You must ensure that your listings do not infringe on any third-party trademarks, copyrights, or patents.


10. Performance Standards


Vauxmart may establish performance metrics that sellers must meet, such as order acceptance rates, timely delivery rates, and customer ratings. Consistent underperformance against these metrics may lead to penalties, suspension of your account, or termination of your seller privileges.


11. Taxes


Sellers bear the responsibility for reporting and paying all applicable taxes, including sales tax, VAT, income tax, and customs duties. When required by law, Vauxmart may withhold and remit the owed taxes on your behalf.

  1. Dispute Resolution

In the event of disputes with buyers, you are expected to attempt resolution directly with them. Should the issue remain unresolved, Vauxmart may act as a mediator and make a binding final decision. We reserve the right to deduct any refunds or penalties from your payouts resulting from such disputes.


12. Suspension and Termination


Vauxmart may suspend or terminate your seller account for the following reasons:

  • Breach of this Agreement or our Terms and Conditions.
  • Listing of prohibited items.
  • Engagement in fraudulent or unlawful activities.

Upon termination of your account, you are still required to fulfill any pending orders unless instructed otherwise by Vauxmart.


13. Limitation of Liability


Vauxmart cannot be held liable for any issues arising from your products or your operations as a seller, including but not limited to product defects, delivery issues, or disputes with buyers. By participating as a seller on our platform, you agree to assume full responsibility for your actions and the consequences that may arise from them.


This Agreement serves to outline your responsibilities and the framework within which Vauxmart operates to create a safe and efficient marketplace for both sellers and buyers.
